GENERAL TERMS AND CONDITIONS IN THE COMMERCIAL ENVIRONMENT<\/strong><\/h2>

\u2013 hereinafter referred to as \u201cMichael Schmitt Ltd.<\/h4>

1 Con\u00adclu\u00adsion of con\u00adtract<\/strong><\/p>

1.1 For con\u00adtracts with Michael Schmitt Ltd. only these terms and con\u00addi\u00adtions apply. Devi\u00adat\u00ading reg\u00adu\u00adla\u00adtions in the gen\u00ader\u00adal terms and con\u00addi\u00adtions of the cus\u00adtomer are there\u00adfore express\u00adly con\u00adtra\u00addict\u00aded.<\/p>

1.2 Offers made by Michael Schmitt Ltd. in brochures, adver\u00adtise\u00adments etc. are \u2013 also with regard to prices \u2013 sub\u00adject to change and non-bind\u00ading, unless a bind\u00ading assur\u00adance is express\u00adly giv\u00aden.<\/p>

1.3 Michael Schmitt Ltd. care\u00adful\u00adly research\u00ades and cal\u00adcu\u00adlates for her work. This some\u00adtimes takes some time. The cus\u00adtomer is there\u00adfore bound to his order for 14 days. If Michael Schmitt Ltd. does not reject the accep\u00adtance with\u00adin sev\u00aden days after receipt of the order, the con\u00adfir\u00adma\u00adtion is con\u00adsid\u00adered to be giv\u00aden.<\/p>

1.4 Oral col\u00adlat\u00ader\u00adal agree\u00adments are invalid. Changes to the con\u00addi\u00adtions must be made in writ\u00ading.<\/p>

1.5 Com\u00adpli\u00adance with a per\u00adfor\u00admance dead\u00adline depends on time\u00adly deliv\u00adery to us.<\/p>

2 Scope of ser\u00advices<\/strong><\/p>

2.1 Michael Schmitt Ltd. offers the fol\u00adlow\u00ading ser\u00advices:<\/p>

\u2013 Cre\u00adation, adap\u00adta\u00adtion and main\u00adte\u00adnance of web\u00adsite<\/p>

\u2013 Set\u00adup and main\u00adte\u00adnance of con\u00adtent man\u00adage\u00adment sys\u00adtems (CMS)<\/p>

\u2013 Web\u00adsite Opti\u00admiza\u00adtion (SEO)<\/p>

\u2013 Host\u00ading<\/p>

\u2013 oth\u00ader graph\u00adic ser\u00advices<\/p>

\u2013 Con\u00adsult\u00ading in usabil\u00adi\u00adty and acces\u00adsi\u00adbil\u00adi\u00adty<\/p>

\u2013 Train\u00adings<\/p>

2.2 Michael Schmitt Ltd. pro\u00advides its ser\u00advices accord\u00ading to the wish\u00ades and spec\u00adi\u00adfi\u00adca\u00adtions of the cus\u00adtomer. Instal\u00adla\u00adtion, con\u00adfig\u00adu\u00adra\u00adtion, instruc\u00adtion and train\u00ading are only part of their ser\u00advice oblig\u00ada\u00adtions if this has been agreed. Michael Schmitt Ltd. only has to con\u00adsid\u00ader change and exten\u00adsion requests if they are nec\u00ades\u00adsary for tech\u00adni\u00adcal rea\u00adsons in order to achieve the pur\u00adpose of the con\u00adtract.<\/p>

2.3 Inso\u00adfar as Michael Schmitt Ltd. pro\u00advides addi\u00adtion\u00adal ser\u00advices and per\u00adfor\u00admances out\u00adside the con\u00adtrac\u00adtu\u00adal agree\u00adment free of charge, these can be dis\u00adcon\u00adtin\u00adued at any time. A claim for reduc\u00adtion or com\u00adpen\u00adsa\u00adtion by the cus\u00adtomer or a right of ter\u00admi\u00adna\u00adtion does not result from this.<\/p>

2.4 In the event of a sig\u00adnif\u00adi\u00adcant change in the con\u00adtrac\u00adtu\u00adal oblig\u00ada\u00adtions of Michael Schmitt Ltd. for the pur\u00adpose of adapt\u00ading them to the inter\u00adests of the cus\u00adtomer, Michael Schmitt Ltd. may charge the cus\u00adtomer for the addi\u00adtion\u00adal work required. This also applies to an exten\u00adsive exam\u00adi\u00adna\u00adtion of whether and under what con\u00addi\u00adtions the change or exten\u00adsion is fea\u00adsi\u00adble, pro\u00advid\u00aded Michael Schmitt Ltd. has point\u00aded this out in writ\u00ading.<\/p>

2.5 Michael Schmitt Ltd. is enti\u00adtled to make par\u00adtial deliv\u00ader\u00adies as long as these are not unrea\u00adson\u00adable for the cus\u00adtomer.<\/p>

2.6 Michael Schmitt Ltd. is enti\u00adtled to change, reduce or sup\u00adple\u00adment the range of ser\u00advices result\u00ading from the con\u00adtract as well as to can\u00adcel access to indi\u00advid\u00adual ser\u00advices if and to the extent that the ful\u00adfil\u00adment of the pur\u00adpose of the con\u00adtract con\u00adclud\u00aded with the cus\u00adtomer is not or not sig\u00adnif\u00adi\u00adcant\u00adly impaired. The cus\u00adtomers are to be informed about this in good time.<\/p>

2.7 The cus\u00adtomer is advised that the oper\u00ada\u00adtion of a web\u00adsite is accom\u00adpa\u00adnied by legal oblig\u00ada\u00adtions, the non-obser\u00advance of which may result in civ\u00adil and crim\u00adi\u00adnal con\u00adse\u00adquences. These are in par\u00adtic\u00adu\u00adlar:<\/p>

\u2013 the imprint oblig\u00ada\u00adtion (provider iden\u00adti\u00adfi\u00adca\u00adtion) accord\u00ading to \u00a7 5 TMG
\u2013 Duty to inform accord\u00ading to \u00a7 312c BGB (dis\u00adtance con\u00adtracts)<\/p>

\u2013 Infor\u00adma\u00adtion duties accord\u00ading to \u00a7 312e BGB (elec\u00adtron\u00adic busi\u00adness trans\u00adac\u00adtions)<\/p>

\u2013 Oblig\u00ada\u00adtions to check for links<\/p>

\u2013 Oblig\u00ada\u00adtions to check the con\u00adtents of forum dis\u00adcus\u00adsions, blogs and chat rooms<\/p>

\u2013 Oblig\u00ada\u00adtion to respect the copy\u00adright and trade\u00admark rights of third par\u00adties (see also rights of use)<\/p>

2.8 The cus\u00adtomer alone is respon\u00adsi\u00adble for com\u00adpli\u00adance with these oblig\u00ada\u00adtions. Should Michael Schmitt Ltd. suf\u00adfer dam\u00adages because the cus\u00adtomer vio\u00adlates the above men\u00adtioned oblig\u00ada\u00adtions, Michael Schmitt Ltd. is enti\u00adtled to claim dam\u00adages.<\/p>

2.9 Michael Schmitt Ltd. offers its ser\u00advices 24 hours a day, 7 days a week. Nec\u00ades\u00adsary ser\u00advice inter\u00adrup\u00adtions for pre\u00adven\u00adtive main\u00adte\u00adnance work are announced as ear\u00adly as pos\u00adsi\u00adble. Michael Schmitt Ltd. will elim\u00adi\u00adnate mal\u00adfunc\u00adtions of the tech\u00adni\u00adcal equip\u00adment as quick\u00adly as pos\u00adsi\u00adble with\u00adin the scope of the exist\u00ading tech\u00adni\u00adcal and oper\u00ada\u00adtional pos\u00adsi\u00adbil\u00adi\u00adties.<\/p>

3 Prices and pay\u00adment<\/strong><\/p>

3.1 The list prices at the time of deliv\u00adery or ship\u00adment shall apply. Fixed prices shall only apply if the price agree\u00adment in an indi\u00advid\u00adual case, e.g. on the basis of an offer, con\u00adtains nei\u00adther the pos\u00adsi\u00adbil\u00adi\u00adty of a price increase nor a time lim\u00adit for the fixed price agree\u00adment.<\/p>

3.2 The prices do not include the legal sales tax, as this is not charged (gross-net invoic\u00ades). In accor\u00addance with para\u00adgraphs 1 and 3 of the Eng\u00adlish Val\u00adue Added Tax Act 1994, no val\u00adue added tax is includ\u00aded in the invoice amount shown. Ship\u00adping costs, instal\u00adla\u00adtion, train\u00ading and oth\u00ader addi\u00adtion\u00adal ser\u00advices are not includ\u00aded in the price, unless oth\u00ader\u00adwise agreed.<\/p>

3.3 Addi\u00adtion\u00adal ser\u00advices that are not includ\u00aded in the price list or the offer shall be remu\u00adner\u00adat\u00aded sep\u00ada\u00adrate\u00adly. This applies in par\u00adtic\u00adu\u00adlar to addi\u00adtion\u00adal expen\u00addi\u00adture as a result of<\/p>

\u2013 the pre\u00adsen\u00adta\u00adtion of data in non-digi\u00adtised form<\/p>

\u2013 of nec\u00ades\u00adsary and rea\u00adson\u00adable use of ser\u00advices of third par\u00adties<\/p>

\u2013 of expens\u00ades for license man\u00adage\u00adment<\/p>

\u2013 com\u00admis\u00adsioned test\u00ading, research and legal review ser\u00advices<\/p>

\u2013 ser\u00advices pro\u00advid\u00aded out\u00adside busi\u00adness hours<\/p>

3.4 If the cus\u00adtomer is in default of pay\u00adment, he must reck\u00adon with default inter\u00adest of 8% above the base rate. The inter\u00adest on arrears shall accrue even with\u00adout a reminder if the pay\u00adment peri\u00adod is exceed\u00aded.<\/p>

3.5 The cus\u00adtomer must expect that Michael Schmitt Ltd. will ini\u00adtial\u00adly cred\u00adit pay\u00adments against old\u00ader debts. If costs of legal action such as reminder costs have already been incurred, Michael Schmitt Ltd. can cred\u00adit pay\u00adments made by the cus\u00adtomer first against these costs, then against the inter\u00adest and final\u00adly against the main ser\u00advice.<\/p>

3.6 Michael Schmitt Ltd. is enti\u00adtled to demand an advance pay\u00adment of half of the total order val\u00adue for web design or pro\u00adgram\u00adming ser\u00advices.<\/p>

3.7 The cus\u00adtomer can only off\u00adset against the claims of Michael Schmitt Ltd. with undis\u00adput\u00aded or legal\u00adly estab\u00adlished claims. The cus\u00adtomer is only enti\u00adtled to the asser\u00adtion of a right of reten\u00adtion because of such coun\u00adter\u00adclaims that result from the same con\u00adtrac\u00adtu\u00adal rela\u00adtion\u00adship as those claims that are coun\u00adtered by the right of reten\u00adtion.<\/p>

3.8 If a dis\u00adrup\u00adtion of the Michael Schmitt Ltd. ser\u00advices, which is con\u00adsid\u00ader\u00adable, lasts longer than one week and if an actu\u00adal down\u00adtime peri\u00adod of more than one work\u00ading day is reached, the cus\u00adtomer is enti\u00adtled to reduce the month\u00adly fees and charges accord\u00ading\u00adly from the time of the occur\u00adrence until the removal of the dis\u00adrup\u00adtion. A sig\u00adnif\u00adi\u00adcant imped\u00adi\u00adment exists if<\/p>

\u2013 the cus\u00adtomer is no longer able to access the Michael Schmitt Ltd. infra\u00adstruc\u00adture for rea\u00adsons for which the cus\u00adtomer or third par\u00adties are not respon\u00adsi\u00adble, and there\u00adfore can no longer use the ser\u00advices list\u00aded in the con\u00adtract and<\/p>

\u2013 the use of these ser\u00advices as a whole is made con\u00adsid\u00ader\u00adably more dif\u00adfi\u00adcult or the use of indi\u00advid\u00adual ser\u00advices list\u00aded in the con\u00adtract becomes impos\u00adsi\u00adble or com\u00adpa\u00adra\u00adble restric\u00adtions exist.<\/p>

3.9 In the event of a fail\u00adure of ser\u00advices due to a dis\u00adtur\u00adbance out\u00adside the area of respon\u00adsi\u00adbil\u00adi\u00adty of Michael Schmitt Ltd. The same applies to the fail\u00adure of ser\u00advices due to nec\u00ades\u00adsary inter\u00adrup\u00adtions of oper\u00ada\u00adtion accord\u00ading to 10 of the AGB.<\/p>

4 Dates, dead\u00adlines and obsta\u00adcles to per\u00adfor\u00admance<\/strong><\/p>

4.1 Deliv\u00adery dates or peri\u00adods, which can be agreed upon bind\u00ading or non-bind\u00ading, must be in writ\u00ading.<\/p>

4.2 If the coop\u00ader\u00ada\u00adtion of the cus\u00adtomer is nec\u00ades\u00adsary or agreed upon for the ser\u00advice of Michael Schmitt Ltd., the deliv\u00adery time is extend\u00aded by the time the cus\u00adtomer has not ful\u00adfilled this oblig\u00ada\u00adtion.<\/p>

4.3 In case of delays due to<\/p>

\u2013 Changes in the require\u00adments of the cus\u00adtomer<\/p>

\u2013 insuf\u00adfi\u00adcient require\u00adments in the appli\u00adca\u00adtion envi\u00adron\u00adment (hard\u00adware or soft\u00adware deficits), as far as they were not known or should not have been known to Michael Schmitt Ltd.
\u2013 Prob\u00adlems with third-par\u00adty prod\u00aducts (e.g. soft\u00adware from oth\u00ader com\u00adput\u00ader man\u00adu\u00adfac\u00adtur\u00aders)<\/p>

the deliv\u00adery or ser\u00advice date shall be extend\u00aded accord\u00ading\u00adly.<\/p>

4.4 If Michael Schmitt Ltd. is unable to pro\u00advide its con\u00adtrac\u00adtu\u00adal ser\u00advices or can\u00adnot pro\u00advide them on time as a result of indus\u00adtri\u00adal action, force majeure or oth\u00ader cir\u00adcum\u00adstances that are unavoid\u00adable for it, Michael Schmitt Ltd. shall not suf\u00adfer any adverse legal con\u00adse\u00adquences.<\/p>

4.5 If the cus\u00adtomer orders changes or addi\u00adtions that are not only minor in scope, dates and dead\u00adlines that are based on the orig\u00adi\u00adnal sub\u00adject mat\u00adter of the con\u00adtract shall lose their valid\u00adi\u00adty.<\/p>

5 Approval<\/strong><\/p>

5.1 The cus\u00adtomer will accept the ser\u00advices of Michael Schmitt Ltd. imme\u00addi\u00adate\u00adly as soon as Michael Schmitt Ltd. announces the readi\u00adness for accep\u00adtance.<\/p>

5.2 The ser\u00advices of Michael Schmitt Ltd. are deemed to have been accept\u00aded if the com\u00adpa\u00adny has noti\u00adfied the readi\u00adness for accep\u00adtance, point\u00ading out the sig\u00adnif\u00adi\u00adcance of the omis\u00adsion of the accep\u00adtance dec\u00adla\u00adra\u00adtion<\/p>

\u2013 and the cus\u00adtomer there\u00adupon does not declare accep\u00adtance or refuse accep\u00adtance, stat\u00ading defects to be detailed to the best of his abil\u00adi\u00adty, with\u00adin a peri\u00adod of time which allows him to detect sub\u00adstan\u00adtial defects dur\u00ading the required care\u00adful inspec\u00adtion, but at the lat\u00adest after 20 work\u00ading days,<\/p>

\u2013 or the cus\u00adtomer places the web\u00adsite or parts of it on the Inter\u00adnet acces\u00adsi\u00adble to third par\u00adties with\u00adout fur\u00adther exam\u00adi\u00adna\u00adtion or com\u00admis\u00adsions Michael Schmitt Ltd. to do so, unless the non-accep\u00adtance is not due to a sig\u00adnif\u00adi\u00adcant defect in the ser\u00advices pro\u00advid\u00aded by Michael Schmitt Ltd.<\/p>

5.3 If readi\u00adness for accep\u00adtance is not noti\u00adfied, the time at which the cus\u00adtomer should rea\u00adson\u00adably have become aware of the ser\u00advices shall apply instead of the time of noti\u00adfi\u00adca\u00adtion.<\/p>

6 Duty to coop\u00ader\u00adate<\/strong><\/p>

6.1 The cus\u00adtomer shall pro\u00advide nec\u00ades\u00adsary data, espe\u00adcial\u00adly con\u00adtents to be entered for the web\u00adsites in a time\u00adly man\u00adner and in dig\u00adi\u00adtal form.<\/p>

6.2 Inso\u00adfar as Michael Schmitt Ltd. pro\u00advides the cus\u00adtomer with drafts and\/or test ver\u00adsions, spec\u00adi\u00adfy\u00ading a rea\u00adson\u00adable peri\u00adod of time for check\u00ading their cor\u00adrect\u00adness and com\u00adplete\u00adness, the drafts and\/or test ver\u00adsions are deemed to have been approved upon expiry of this peri\u00adod, unless Michael Schmitt Ltd. receives a request for cor\u00adrec\u00adtion.<\/p>

6.3 The cus\u00adtomer is respon\u00adsi\u00adble for suf\u00adfi\u00adcient resources and infor\u00adma\u00adtion with\u00adin the scope of his duty to coop\u00ader\u00adate. He shall ensure the avail\u00adabil\u00adi\u00adty of the required num\u00adber of com\u00adpe\u00adtent employ\u00adees from a pro\u00adfes\u00adsion\u00adal and IT point of view and suf\u00adfi\u00adcient com\u00adput\u00ader capac\u00adi\u00adties such as mem\u00ado\u00adry, proces\u00adsor pow\u00ader and line capac\u00adi\u00adties.<\/p>

6.4 If Michael Schmitt Ltd. deems it nec\u00ades\u00adsary, the cus\u00adtomer shall pro\u00advide a test envi\u00adron\u00adment (hard\u00adware with cur\u00adrent soft\u00adware sta\u00adtus, in par\u00adtic\u00adu\u00adlar the oper\u00adat\u00ading sys\u00adtem and serv\u00ader soft\u00adware cor\u00adre\u00adspond\u00ading to the lat\u00ader con\u00addi\u00adtions of use).<\/p>

6.5 As soon as errors or impair\u00adments of the func\u00adtion\u00adal\u00adi\u00adty of the ser\u00advices of Michael Schmitt Ltd. occur, such as e.g. a web\u00adsite, the cus\u00adtomer shall imme\u00addi\u00adate\u00adly inform Michael Schmitt Ltd. of this, stat\u00ading the time and error spec\u00adi\u00adfi\u00adca\u00adtion as well as the name and telecom\u00admu\u00adni\u00adca\u00adtion data (tele\u00adphone, e\u2011mail) of the report\u00ading and respon\u00adsi\u00adble employ\u00adee.<\/p>

6.6 The cus\u00adtomer is respon\u00adsi\u00adble for the trou\u00adble-free oper\u00ada\u00adtion of the equip\u00adment for remote main\u00adte\u00adnance and ser\u00advic\u00ading, espe\u00adcial\u00adly sta\u00adble data lines and inter\u00adfaces.<\/p>

6.7 The cus\u00adtomer is oblig\u00aded to use the ser\u00advices of Michael Schmitt Ltd. in a prop\u00ader man\u00adner. In par\u00adtic\u00adu\u00adlar he is oblig\u00aded to,<\/p>

    1. a) to inform Michael Schmitt Ltd. imme\u00addi\u00adate\u00adly of any changes in the con\u00adtrac\u00adtu\u00adal basis;<\/li><\/ol><\/li><\/ol>
      • b) not to mis\u00aduse the access pos\u00adsi\u00adbil\u00adi\u00adties to the Michael Schmitt Ltd. ser\u00advices and to refrain from legal and\/or ille\u00adgal actions In par\u00adtic\u00adu\u00adlar, the cus\u00adtomer is for\u00adbid\u00adden<\/li><\/ul>

        \u2013 to use the ser\u00advices of oth\u00ader par\u00adtic\u00adi\u00adpants of the Michael Schmitt Ltd. ser\u00advices with\u00adout autho\u00adriza\u00adtion,<\/p>

        \u2013 to use ser\u00advices not agreed upon in the con\u00adtract between Michael Schmitt Ltd. and the cus\u00adtomer with\u00adout autho\u00adriza\u00adtion,<\/p>

        \u2013 read or change pass\u00adwords, e\u2011mails, files or sim\u00adi\u00adlar of oth\u00ader par\u00adtic\u00adi\u00adpants of the Michael Schmitt Ltd. ser\u00advices or the sys\u00adtem oper\u00ada\u00adtor to decrypt,<\/p>

        \u2013 to dis\u00adtrib\u00adute indi\u00advid\u00adual appli\u00adca\u00adtions of licensed appli\u00adca\u00adtion soft\u00adware via the Michael Schmitt Ltd. ser\u00advices with\u00adout autho\u00adriza\u00adtion,<\/p>

        \u2013 to inter\u00adrupt or block com\u00admu\u00adni\u00adca\u00adtion ser\u00advices, e.g. by over\u00adload\u00ading, inso\u00adfar as the cus\u00adtomer is respon\u00adsi\u00adble for this,<\/p>

        \u2013 to dis\u00adsem\u00adi\u00adnate or make avail\u00adable crim\u00adi\u00adnal con\u00adtents of any kind via ser\u00advices of Michael Schmitt Ltd.,<\/p>

        \u2013 This applies in par\u00adtic\u00adu\u00adlar to porno\u00adgraph\u00adic con\u00adtent that glo\u00adri\u00adfies vio\u00adlence or con\u00adtent that is direct\u00aded against the free demo\u00adc\u00adra\u00adt\u00adic basic order or the idea of inter\u00adna\u00adtion\u00adal under\u00adstand\u00ading, as well as to pro\u00adpa\u00adgan\u00adda mate\u00adr\u00adi\u00adal and sym\u00adbols of uncon\u00adsti\u00adtu\u00adtion\u00adal par\u00adties and asso\u00adci\u00ada\u00adtions or their sub\u00adsti\u00adtute organ\u00adi\u00adsa\u00adtions,<\/p>

        \u2013 to obtain porno\u00adgraph\u00adic con\u00adtent for him\u00adself or her\u00adself or for third par\u00adties that involves the sex\u00adu\u00adal abuse of chil\u00addren.<\/p>

        \u2013 In the event of a breach of con\u00adtract (in par\u00adtic\u00adu\u00adlar against the above-men\u00adtioned points) the cus\u00adtomer shall reim\u00adburse Michael Schmitt Ltd. for any mate\u00adr\u00adi\u00adal and per\u00adson\u00adnel expens\u00ades incurred as well as for any out-of-pock\u00adet expens\u00ades.<\/p>

        • c) to ensure the ful\u00adfil\u00adment of legal reg\u00adu\u00adla\u00adtions and offi\u00adcial require\u00adments, inso\u00adfar as these are or will be rel\u00ade\u00advant for par\u00adtic\u00adi\u00adpa\u00adtion in the Michael Schmitt Ltd. net\u00adwork;<\/li><\/ul>
          • d) to take into account the applic\u00ada\u00adble pro\u00advi\u00adsions of data pro\u00adtec\u00adtion and the recog\u00adnised prin\u00adci\u00adples of data secu\u00adri\u00adty and to com\u00adply with them;<\/li><\/ul>
            • e) to noti\u00adfy Michael Schmitt Ltd. imme\u00addi\u00adate\u00adly of any recog\u00adnis\u00adable defects or dam\u00adage (fault reports) and to take all mea\u00adsures which enable the defects or dam\u00adage and their caus\u00ades to be deter\u00admined or which facil\u00adi\u00adtate and accel\u00ader\u00adate the elim\u00adi\u00adna\u00adtion of the fault;<\/li><\/ul>
              • f) to reim\u00adburse Michael Schmitt Ltd. for the expens\u00ades incurred by the inspec\u00adtion of his equip\u00adment after a fault report has been sub\u00admit\u00adted, if and inso\u00adfar as the inspec\u00adtion reveals that a fault was with\u00adin the customer\u2019s area of respon\u00adsi\u00adbil\u00adi\u00adty (out\u00adside the defined scope of the con\u00adtract and ser\u00advices).<\/li><\/ul>
                • g) If the cus\u00adtomer vio\u00adlates the above-men\u00adtioned oblig\u00ada\u00adtions, Michael Schmitt Ltd. is enti\u00adtled to ter\u00admi\u00adnate the con\u00adtrac\u00adtu\u00adal rela\u00adtion\u00adship with\u00adout notice and, if nec\u00ades\u00adsary, to block access to the ser\u00advices result\u00ading from the scope of ser\u00advices imme\u00addi\u00adate\u00adly and in oth\u00ader cas\u00ades after unsuc\u00adcess\u00adful warn\u00ading.<\/li><\/ul>
                  • h) Details of the inter\u00adac\u00adtion between the users can be agreed upon in part\u00adner\u00adship by means of a user reg\u00adu\u00adla\u00adtion.<\/li><\/ul>

                    7 Rights of use<\/strong><\/p>

                    7.1 Michael Schmitt Ltd. grants the cus\u00adtomer a sim\u00adple [exclu\u00adsive \/ with the excep\u00adtion of Michael Schmitt Ltd. exclu\u00adsive] and [non-] trans\u00adfer\u00adable right of use. If Michael Schmitt Ltd. pro\u00advides ser\u00advices for the design of the customer\u2019s inter\u00adnet pres\u00adence, the pur\u00adpose of use of the web\u00adsite and\/or its com\u00adpo\u00adnents is lim\u00adit\u00aded to use on the inter\u00adnet. The cus\u00adtomer acquires this right upon full pay\u00adment of the ser\u00advices of Michael Schmitt Ltd.<\/p>

                    7.2 Upon request, the cus\u00adtomer is oblig\u00aded to pro\u00advide Michael Schmitt Ltd. with writ\u00adten infor\u00adma\u00adtion about the scope of use.<\/p>

                    7.3 Michael Schmitt Ltd. assumes when using the customer\u2019s tem\u00adplates that these are not encum\u00adbered with the rights of third par\u00adties or that the cus\u00adtomer has the right of use required for the order.<\/p>

                    7.4 Michael Schmitt Ltd. also makes use of the rights of third par\u00adties (third-par\u00adty licence mate\u00adr\u00adi\u00adal) for the web\u00adsite, which can only be trans\u00adferred to the cus\u00adtomer with restric\u00adtions \u2013 espe\u00adcial\u00adly in terms of time. The lim\u00adit\u00aded trans\u00adfer can, among oth\u00ader things, lead to the fact that third-par\u00adty licence mate\u00adr\u00adi\u00adal is no longer avail\u00adable or is avail\u00adable at sig\u00adnif\u00adi\u00adcant\u00adly changed con\u00addi\u00adtions over which Michael Schmitt Ltd. has no influ\u00adence. In this case, Michael Schmitt Ltd. will make every effort to use sim\u00adi\u00adlar mate\u00adr\u00adi\u00adal.<\/p>

                    7.5 Michael Schmitt Ltd. may invoice the cus\u00adtomer for the costs of third par\u00adty licence mate\u00adr\u00adi\u00adal by pre\u00adsent\u00ading the licensor\u2019s invoice with a ser\u00advice charge of 5 \u20ac. Any fur\u00adther iden\u00adti\u00adfi\u00adca\u00adtion of com\u00adpo\u00adnents of the web\u00adsite encum\u00adbered with third-par\u00adty rights will not be made.<\/p>

                    .<\/p>

                    7.6 The cus\u00adtomer may only use third-par\u00adty license mate\u00adr\u00adi\u00adal in con\u00adnec\u00adtion with and with\u00adin the scope of the web\u00adsite. If a claim is made against Michael Schmitt Ltd. by the licenser because the third-par\u00adty licence mate\u00adr\u00adi\u00adal was not used accord\u00ading\u00adly, the cus\u00adtomer is liable to com\u00adpen\u00adsate Michael Schmitt Ltd. for any result\u00ading dam\u00adage.<\/p>

                    7.7 The cus\u00adtomer is oblig\u00aded to inform Michael Schmitt Ltd. about any unlaw\u00adful use of the licence mate\u00adr\u00adi\u00adal that becomes known to him, as well as to take legal action against an infringer of indus\u00adtri\u00adal prop\u00ader\u00adty rights or to sup\u00adport Michael Schmitt Ltd. in doing so.<\/p>

                    .<\/p>

                    7.8 If the cus\u00adtomer becomes aware of vio\u00adla\u00adtions of rights of use through the ser\u00advices of Michael Schmitt Ltd. e.g. through warn\u00adings from third par\u00adties, he will inform Michael Schmitt Ltd. imme\u00addi\u00adate\u00adly.<\/p>

                    7.9 A direct or imme\u00addi\u00adate use of the Michael Schmitt Ltd. ser\u00advices by third par\u00adties is not per\u00admit\u00adted. The cus\u00adtomer may not use the ser\u00advices for his own pur\u00adpos\u00ades, resell or sub\u00adlet them. The cus\u00adtomer must prop\u00ader\u00adly instruct third par\u00adties in the use of the ser\u00advices. The cus\u00adtomer is respon\u00adsi\u00adble to Michael Schmitt Ltd. for the com\u00adpli\u00adance with the con\u00adtrac\u00adtu\u00adal pro\u00advi\u00adsions by the third par\u00adty in the same way as he him\u00adself would be respon\u00adsi\u00adble for their com\u00adpli\u00adance.<\/p>

                    7.10 The Cus\u00adtomer shall also pay the fees that have arisen from the access and use of the ser\u00advices pro\u00advid\u00aded to him by third par\u00adties. The same applies in case of unau\u00adtho\u00adrized use of the ser\u00advices by third par\u00adties, unless the cus\u00adtomer proves that the unau\u00adtho\u00adrized use was caused by cir\u00adcum\u00adven\u00adtion or removal of the secu\u00adri\u00adty mea\u00adsures of Michael Schmitt Ltd. with\u00adout being respon\u00adsi\u00adble for this.<\/p>

                    8 Copy\u00adright notices and ref\u00ader\u00adences<\/strong><\/p>

                    8.1 The cus\u00adtomer grants Michael Schmitt Ltd. the right to include the logo of Michael Schmitt Ltd. in the imprint of the customer\u2019s web\u00adsite and to link it to the web\u00adsite of Michael Schmitt Ltd. The cus\u00adtomer will adopt all pro\u00adtec\u00adtive notices such as copy\u00adright notices and oth\u00ader legal reser\u00adva\u00adtions unchanged. This applies in par\u00adtic\u00adu\u00adlar to the ref\u00ader\u00adences to the orig\u00adi\u00adna\u00adtor in the pro\u00adgram code.<\/p>

                    8.2 The client agrees that Michael Schmitt Ltd. may dis\u00adplay the graph\u00adics, web\u00adsites etc. cre\u00adat\u00aded for the client as a ref\u00ader\u00adence in his pub\u00adlic gal\u00adleries on the home\u00adpage if required or use them in oth\u00ader adver\u00adtis\u00ading mate\u00adr\u00adi\u00adal as proof of his work. A pub\u00adli\u00adca\u00adtion of the URL of the web\u00adsite edit\u00aded by Michael Schmitt Ltd. is per\u00admit\u00adted. The client allows Michael Schmitt Ltd. to place a link to his own home\u00adpage in the foot\u00ader as well as on the imprint page and the client is not enti\u00adtled to remove it with\u00adout the writ\u00adten con\u00adsent of the web design\u00ader. Any infringe\u00adment of the right to be named shall enti\u00adtle the client to com\u00adpen\u00adsa\u00adtion. The amount of com\u00adpen\u00adsa\u00adtion is 50% of the agreed fee for the cre\u00adation of the web\u00adsite. The right to claim high\u00ader dam\u00adages upon proof remains unaf\u00adfect\u00aded.<\/p>

                    9 War\u00adran\u00adty<\/strong><\/p>

                    9.1 Defec\u00adtive deliv\u00ader\u00adies or ser\u00advices will be repaired or replaced by Michael Schmitt Ltd. with\u00adin the war\u00adran\u00adty peri\u00adod of 12 months, which begins with the date of deliv\u00adery or accep\u00adtance, after appro\u00adpri\u00adate noti\u00adfi\u00adca\u00adtion by the cus\u00adtomer. Michael Schmitt Ltd. will rem\u00ade\u00addy the defects free of charge or pro\u00advide the cus\u00adtomer with a cor\u00adrect\u00aded release ver\u00adsion (mod\u00adi\u00adfied ver\u00adsion that no longer con\u00adtains the defect com\u00adplained about) free of charge. Any addi\u00adtion\u00adal expens\u00ades will be charged accord\u00ading to expen\u00addi\u00adture.<\/p>

                    9.2 The cus\u00adtomer shall imme\u00addi\u00adate\u00adly imple\u00adment the mea\u00adsures to rem\u00ade\u00addy the defects (e.g. install new releas\u00ades) and in doing so observe the duties of noti\u00adfi\u00adca\u00adtion (\u00a7 6).<\/p>

                    9.3 Under unfa\u00advor\u00adable cir\u00adcum\u00adstances, mul\u00adti\u00adple cor\u00adrec\u00adtions may be nec\u00ades\u00adsary. Defects are devi\u00ada\u00adtions of the cre\u00adat\u00aded web\u00adsite ele\u00adments from the agreed design and func\u00adtion\u00adal\u00adi\u00adty, as far as these devi\u00ada\u00adtions affect the suit\u00adabil\u00adi\u00adty for the agreed use.<\/p>

                    9.4 Claims for defects do not exist if the defect is only insignif\u00adi\u00adcant, i.e. in par\u00adtic\u00adu\u00adlar if it does not have a sig\u00adnif\u00adi\u00adcant effect on the agreed use.<\/p>

                    9.5 If the sub\u00adse\u00adquent per\u00adfor\u00admance fails with\u00adin a peri\u00adod set by the cus\u00adtomer for sub\u00adse\u00adquent per\u00adfor\u00admance, the cus\u00adtomer may demand the can\u00adcel\u00adla\u00adtion of the con\u00adtract or a reduc\u00adtion of the pur\u00adchase price.<\/p>

                    9.6 Obvi\u00adous defects that are eas\u00adi\u00adly notice\u00adable to an aver\u00adage cus\u00adtomer must be report\u00aded in writ\u00ading by the cus\u00adtomer to Michael Schmitt Ltd. with\u00adin 10 work\u00ading days of deliv\u00adery. Defects that are not obvi\u00adous must be report\u00aded to Michael Schmitt Ltd. with\u00adin 10 work\u00ading days after detec\u00adtion. Oth\u00ader\u00adwise claims aris\u00ading from these defects can\u00adnot be assert\u00aded. The defects, in par\u00adtic\u00adu\u00adlar the error mes\u00adsages that have occurred, are to be repro\u00adduced in detail to the best of our abil\u00adi\u00adty (e.g. through error logs).<\/p>

                    10 Lia\u00adbil\u00adi\u00adty<\/strong><\/p>

                    10.1 Michael Schmitt Ltd. has unlim\u00adit\u00aded lia\u00adbil\u00adi\u00adty for defects of title and guar\u00adan\u00adtees. The lia\u00adbil\u00adi\u00adty accord\u00ading to the prod\u00aduct lia\u00adbil\u00adi\u00adty law remains unaf\u00adfect\u00aded.<\/p>

                    10.2 For inten\u00adtion\u00adal or gross\u00adly neg\u00adli\u00adgent breach\u00ades of duty Michael Schmitt Ltd. This also applies to legal rep\u00adre\u00adsen\u00adta\u00adtives and vic\u00adar\u00adi\u00adous agents of Michael Schmitt Ltd.<\/p>

                    10.3 Michael Schmitt Ltd. and its vic\u00adar\u00adi\u00adous agents are only liable for slight neg\u00adli\u00adgence with\u00adin the scope of the vio\u00adla\u00adtion of essen\u00adtial oblig\u00ada\u00adtions (oblig\u00ada\u00adtions whose vio\u00adla\u00adtion endan\u00adgers the achieve\u00adment of the pur\u00adpose of the con\u00adtract) and for the vio\u00adla\u00adtion of so-called car\u00addi\u00adnal oblig\u00ada\u00adtions (oblig\u00ada\u00adtions whose ful\u00adfil\u00adment makes the prop\u00ader exe\u00adcu\u00adtion of the con\u00adtract pos\u00adsi\u00adble in the first place and on whose com\u00adpli\u00adance the cus\u00adtomer reg\u00adu\u00adlar\u00adly relies), but in each case only for the fore\u00adsee\u00adable dam\u00adage typ\u00adi\u00adcal for the con\u00adtract. Michael Schmitt Ltd. is not liable for the slight\u00adly neg\u00adli\u00adgent vio\u00adla\u00adtion of oth\u00ader oblig\u00ada\u00adtions.<\/p>

                    10.4 The above-men\u00adtioned lim\u00adi\u00adta\u00adtions of lia\u00adbil\u00adi\u00adty do not apply in the event of injury to life, body or health, for a defect after the assump\u00adtion of a guar\u00adan\u00adtee for the qual\u00adi\u00adty of the prod\u00aduct and for fraud\u00adu\u00adlent\u00adly con\u00adcealed defects. The lia\u00adbil\u00adi\u00adty accord\u00ading to the prod\u00aduct lia\u00adbil\u00adi\u00adty law remains unaf\u00adfect\u00aded.<\/p>

                    10.5 The lia\u00adbil\u00adi\u00adty for loss of data is lim\u00adit\u00aded by the typ\u00adi\u00adcal recov\u00adery effort. This is mea\u00adsured accord\u00ading to the dam\u00adage that would have occurred if rea\u00adson\u00adable secu\u00adri\u00adty mea\u00adsures had been tak\u00aden (such as mak\u00ading back\u00adup copies).<\/p>

                    10.6 Claims for dam\u00adages due to deliv\u00adery and ser\u00advice dis\u00adrup\u00adtions are exclud\u00aded, as long as Michael Schmitt Ltd. is not respon\u00adsi\u00adble for them due to intent or gross neg\u00adli\u00adgence.<\/p>

                    10.7 If the lia\u00adbil\u00adi\u00adty of Michael Schmitt Ltd. is exclud\u00aded or lim\u00adit\u00aded, this also applies to the per\u00adson\u00adal lia\u00adbil\u00adi\u00adty of employ\u00adees, rep\u00adre\u00adsen\u00adta\u00adtives and vic\u00adar\u00adi\u00adous agents.<\/p>

                    10.8 The cus\u00adtomer is liable for all con\u00adse\u00adquences and dis\u00adad\u00advan\u00adtages that arise for Michael Schmitt Ltd. or third par\u00adties due to the improp\u00ader or ille\u00adgal use of the Michael Schmitt Ltd. ser\u00advices or due to the cus\u00adtomer not ful\u00adfill\u00ading his oth\u00ader oblig\u00ada\u00adtions.<\/p>

                    11 Oblig\u00ada\u00adtion of the cus\u00adtomer to back\u00adup data<\/strong><\/p>

                    The cus\u00adtomer is oblig\u00aded to pro\u00adtect him\u00adself ade\u00adquate\u00adly against data loss. Since the new instal\u00adla\u00adtion of soft\u00adware, but also the mod\u00adi\u00adfi\u00adca\u00adtion of the installed soft\u00adware entails the risk of data loss, the cus\u00adtomer is oblig\u00aded to take pre\u00adcau\u00adtions against data loss by means of com\u00adpre\u00adhen\u00adsive data pro\u00adtec\u00adtion before new instal\u00adla\u00adtion or mod\u00adi\u00adfi\u00adca\u00adtion of the installed soft\u00adware.<\/p>

                    12 Data pro\u00adtec\u00adtion and con\u00adfi\u00adden\u00adtial\u00adi\u00adty<\/strong><\/p>

                    12.1 Michael Schmitt Ltd. stores the customer\u2019s data (e.g. address and bank details) required in the con\u00adtext of the con\u00adtract ini\u00adti\u00ada\u00adtion and pro\u00adcess\u00ading in elec\u00adtron\u00adic form.<\/p>

                    12.2 Michael Schmitt Ltd. declares that its employ\u00adees [free\u00adlancers, trainees, interns, etc.], who work with\u00adin the scope of this con\u00adtract, have been bound to data secre\u00adcy accord\u00ading to \u00a7 5 BDSG and that Michael Schmitt Ltd. has tak\u00aden the tech\u00adni\u00adcal and orga\u00adni\u00adza\u00adtion\u00adal mea\u00adsures required accord\u00ading to \u00a7 9 BDSG to ensure the exe\u00adcu\u00adtion of the reg\u00adu\u00adla\u00adtions of the BDSG.<\/p>

                    12.3 Con\u00adnect\u00ading a net\u00adwork to the Inter\u00adnet cre\u00adates the pos\u00adsi\u00adbil\u00adi\u00adty of mis\u00aduse of data. The cus\u00adtomer must there\u00adfore pro\u00adtect sen\u00adsi\u00adtive data in par\u00adtic\u00adu\u00adlar from unau\u00adtho\u00adrized access by means of his own secu\u00adri\u00adty mea\u00adsures.<\/p>

                    12.4 Both con\u00adtract\u00ading par\u00adties shall treat con\u00adfi\u00adden\u00adtial\u00adly marked infor\u00adma\u00adtion that they become aware of in the course of the con\u00adtract. Soft\u00adware-relat\u00aded doc\u00adu\u00adments such as doc\u00adu\u00admen\u00adta\u00adtion and, above all, the source code must be pro\u00adtect\u00aded against unau\u00adtho\u00adrized access.<\/p>

                    12.5 Michael Schmitt Ltd. points out that, accord\u00ading to the cur\u00adrent state of the art, it is not pos\u00adsi\u00adble to pre\u00advent the repro\u00adduc\u00adtion of works, in par\u00adtic\u00adu\u00adlar of graph\u00adics or oth\u00ader opti\u00adcal or acoustic design ele\u00adments, which are placed online.<\/p>

                    13 Ter\u00admi\u00adna\u00adtion<\/strong><\/p>

                    13.1 In the case of main\u00adte\u00adnance con\u00adtracts, the cus\u00adtomer may ter\u00admi\u00adnate the con\u00adtract in an order\u00adly man\u00adner at the ear\u00adli\u00adest 12 months after con\u00adclu\u00adsion of the con\u00adtract. The con\u00adtract is extend\u00aded by 6 months in each case if it is not ter\u00admi\u00adnat\u00aded in writ\u00ading 3 months before the end of the con\u00adtract.<\/p>

                    13.2 The right to ter\u00admi\u00adnate for good cause remains unaf\u00adfect\u00aded. In par\u00adtic\u00adu\u00adlar in the case of a vio\u00adla\u00adtion of \u00a7 7 and if the cus\u00adtomer is in default with the pay\u00adment of the remu\u00adner\u00ada\u00adtion by more than one month, Michael Schmitt Ltd. can ter\u00admi\u00adnate with\u00adout notice.<\/p>

                    14 Noti\u00adfi\u00adca\u00adtions<\/strong><\/p>

                    14.1 Inso\u00adfar as the con\u00adtract\u00ading par\u00adties com\u00admu\u00adni\u00adcate by e\u2011mail, they acknowl\u00adedge the unlim\u00adit\u00aded valid\u00adi\u00adty of the dec\u00adla\u00adra\u00adtions of intent trans\u00admit\u00adted in this way in accor\u00addance with the fol\u00adlow\u00ading pro\u00advi\u00adsions.<\/p>

                    14.2 The e\u2011mail must con\u00adtain the name and e\u2011mail address of the sender, the time of send\u00ading (date and time) and a repro\u00adduc\u00adtion of the name of the sender as the con\u00adclu\u00adsion of the mes\u00adsage.<\/p>

                    14.3 Con\u00adfi\u00adden\u00adtial\u00adi\u00adty can\u00adnot be guar\u00adan\u00adteed for data trans\u00admit\u00adted unen\u00adcrypt\u00aded over the Inter\u00adnet. At the request of the oth\u00ader par\u00adty, each con\u00adtract\u00ading par\u00adty shall make avail\u00adable a coor\u00addi\u00adnat\u00aded encryp\u00adtion sys\u00adtem, such as PGP, on its own site.<\/p>

                    14.4 An e\u2011mail received with\u00adin the scope of the above pro\u00advi\u00adsions shall be deemed to have orig\u00adi\u00adnat\u00aded from the oth\u00ader part\u00adner, unless proven oth\u00ader\u00adwise.<\/p>

                    14.5 The bind\u00ading nature of the e\u2011mail and thus of the text form shall apply to all dec\u00adla\u00adra\u00adtions that are made in the ordi\u00adnary course of the con\u00adtract. How\u00adev\u00ader, the text form is exclud\u00aded in the case of a ter\u00admi\u00adna\u00adtion, mea\u00adsures for the ini\u00adti\u00ada\u00adtion or exe\u00adcu\u00adtion of arbi\u00adtra\u00adtion pro\u00adceed\u00adings, as well as dec\u00adla\u00adra\u00adtions that are express\u00adly request\u00aded in writ\u00ading by a con\u00adtrac\u00adtu\u00adal part\u00adner in devi\u00ada\u00adtion from this agree\u00adment.<\/p>

                    15 Applic\u00ada\u00adble law and place of per\u00adfor\u00admance<\/strong><\/p>

                    15.1 The con\u00adtract\u00ading par\u00adties agree that Eng\u00adlish law shall apply to all legal rela\u00adtion\u00adships aris\u00ading from this con\u00adtrac\u00adtu\u00adal rela\u00adtion\u00adship. Eng\u00adlish law shall also apply in cross-bor\u00adder trans\u00adac\u00adtions, to the exclu\u00adsion of the UN Con\u00adven\u00adtion on Con\u00adtracts for the Inter\u00adna\u00adtion\u00adal Sale of Goods.<\/p>
